Terms of service

These terms are an agreement between you and Donna Technologies, Inc. ("Donna", "we", "us"). They cover our websites and the Donna desktop application. By using either, you accept them.

Your account

You need an account to use Donna. Keep your login details to yourself, tell us promptly if you think someone else has them, and give us accurate information. You must be at least 16 and able to enter a contract. If you are using Donna for an employer or a firm, you are confirming that you may accept these terms on its behalf.

Your documents stay yours

You keep all rights in the documents and content you open, create or store with Donna. You give us only the narrow permission we need to run the service for you: to store, process and display your content so the app works. We do not use your content to train AI models, and we do not share it with anyone except the service providers listed in our privacy policy.

What you may not do

• Break the law with it, or use it to infringe someone else's rights.
• Reverse-engineer, decompile or resell the software, or rent access to it.
• Attack, probe or overload our systems, or try to reach data that is not yours.
• Upload malware, or content you have no right to upload.

Paid plans

Paid subscriptions renew automatically for the same period until you cancel, and cancelling takes effect at the end of the period you have already paid for. Fees are charged through Stripe in advance and, except where the law says otherwise, are non-refundable. We will give you at least 30 days' notice by email before a price change.

Beta and early access

Some features are marked beta or early access. They may change, break or disappear, and they are provided as-is.

Professional responsibility

Donna is a document tool. It is not a law firm, it does not give legal advice, and its output is not a substitute for your own professional judgement. If you are a lawyer, you remain responsible for your work, for supervising the tools you use, and for your duties of competence and confidentiality to your clients.

Availability

We work to keep Donna running but do not promise it will be uninterrupted or error-free. We may change or discontinue features, and we will give reasonable notice before discontinuing something you rely on.

Ending it

You may stop using Donna and close your account at any time. We may suspend or close an account that breaches these terms, or that we must act on for legal or security reasons. On closure you can export your content for 30 days, after which we delete it as described in the privacy policy.

Warranties and liability

Donna is provided "as is", without warranties of any kind to the fullest extent the law allows. To the fullest extent permitted by law, neither party is liable for indirect, incidental or consequential losses, or for lost profits or lost data, and our total liability for any claim is limited to the amount you paid us in the twelve months before it arose. Nothing here limits liability that cannot legally be limited.

Indemnity

You agree to cover us against claims arising from your content or your misuse of Donna, other than claims caused by our own breach of these terms.

Governing law

These terms are governed by the laws of the State of Delaware, and the courts of New Castle County, Delaware have exclusive jurisdiction.

Changes

We may update these terms; if a change is significant we will email account holders at least 30 days before it takes effect. Continuing to use Donna after that means you accept the new terms.
